Terms of Service

Welcome to LaunchPal.io ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the LaunchPal.io platform, including our website, applications, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

LaunchPal.io is a B2B SaaS platform that helps CPG/FMCG brands connect with retail buyers through AI-powered lead generation and personalized email outreach campaigns.

To use our Service, you must:

• ■Be at least 18 years of age.
• ■Provide accurate and complete registration information.
• ■Maintain the security of your account credentials.
• ■Promptly notify us of any unauthorized use of your account.
• ■Accept responsibility for all activities under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

LaunchPal.io offers optional email integration features that require access to your email account (Gmail or Microsoft Outlook). By connecting your email account, you grant us the following permissions:

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• ■Send spam, unsolicited bulk emails, or deceptive messages.
• ■Violate any applicable anti-spam laws (CAN-SPAM, GDPR, CASL, etc.).
• ■Impersonate any person or entity, or falsely claim affiliation.
• ■Harvest or collect email addresses without consent.
• ■Use the Service for any illegal or unauthorized purpose.
• ■Interfere with or disrupt the Service or servers.
• ■Attempt to gain unauthorized access to any systems.
• ■Upload malicious code, viruses, or harmful content.
• ■Resell or redistribute the Service without authorization.

LaunchPal.io offers a free tier and a single paid plan:

• ■Preview (free): trial campaigns only, limited to 5 prospects per campaign, no email sending.
• ■Pro ($85/month): full platform and CRM access, 500 prospects per month, email sending, and a managed sending domain. Running outreach campaigns is optional; the platform and your data remain available whether or not you send.

The monthly prospect allowance renews each billing period and does not roll over. Subscriptions are billed monthly and can be cancelled at any time in the month with no penalty. Refunds are handled on a case-by-case basis.

In addition to the monthly subscription, a fee of $20 applies for each buyer who replies to your outreach with interest. This is the only usage-based charge on the Service.

What counts as a positive reply. A reply qualifies when the recipient is a real person expressing any kind of interest in your product or in continuing the conversation. That includes, for example:

• ■Asking about pricing, wholesale terms, margins, or minimum order quantities.
• ■Requesting samples, a product list, a line sheet, or further information.
• ■Asking questions about the product, ingredients, certifications, or availability.
• ■Agreeing to a call, a meeting, a store visit, or a trial.
• ■Expressing interest for a later date, or referring you to the right person internally.

What does not incur a fee. You are never charged for:

• ■Replies declining, saying they are not interested, or asking you to stop contacting them.
• ■Wrong-recipient replies, or replies stating the person has left the business.
• ■Automated messages, including out-of-office replies, delivery notifications, system confirmations, and mailing-list responses.
• ■Unsubscribe requests and bounces.
• ■Any month in which no buyer replies with interest.

Charged once per buyer. The fee applies once per buyer contact for the lifetime of your account, not per message. If the same buyer replies several times, across several campaigns, or over several months, you are charged $20 in total, at the time of their first interested reply.

How it is assessed. Replies are classified automatically. If you believe a reply was charged in error, contact us within 30 days of the invoice and we will review it; where we agree it was misclassified, the fee is waived or refunded.

When it is billed.Positive-reply fees are billed in arrears. Fees incurred during a billing period appear on your next invoice, alongside the monthly subscription, itemised by buyer. Your current period's fees are visible in your account at any time before the invoice is issued.

The Service, including all content, features, and functionality, is owned by LaunchPal.io and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content you submit through the Service, but grant us a license to use, store, and process that content to provide the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM USING THE SERVICE, INCLUDING RESPONSE RATES OR BUSINESS OUTCOMES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAUNCHPAL.IO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of New Zealand.
